Job Description/Requirements
Kenya Shipyards Limited (KSL) is a State Corporation incorporated under the Companies Act, Act No. 17 of 2015, and is fully owned by the Government of Kenya through the National Treasury.
The mandate of the KSL is to lead and catalyze the development of shipbuilding industry in Eastern Africa with a focus on meeting the local demand of maritime assets and services from the Kenya Navy, Ministries, Departments & Agencies and other private domestic and regional clients.
The Board of Directors is inviting applications from qualified and experienced professionals to fill the following position(s):

This is a five (5) year contract renewable subject to satisfactory performance and retirement age.

Job Purpose:
The job holder is responsibe for provision of timely and professional legal advice to the Company on legal issues that arise in the conduct of the Company’s business. In addition, the job leads and coordinates legal representation of the company in disputes instituted by or against the Company and that the Company’s best interests are protected by managing regulatory, contractual obligations and legal risks.
Key Responsibilities / Duties / Tasks:
Managerial / Supervisory Responsibilities:
a) Monitor all aspects of the Board Secretariat, Legal services with the aim of developing a robust and facilitative legal and regulatory framework for enhancing organizational effectiveness.
b) Manage legal risks while taking advantage of opportunities.
c) Oversees all legal matters, procedures, Divisional financial budget and co-ordinates all activities in the Board and Legal Services Division.
d) Lead the Heads of Legal services in coordinating these functional aspects of the organization.
e) Provides leadership and direction to members of staff in the legal & Board division.
f) Recommends to the Company’s Human Resource Committee the human resource structure of the Division.
g) Coordinate Audits on constitutionality and legal compliance of the Company’s tasks and framework.
h) Coordinate adherence of established policies of the Company in line with applicable laws and regulations.
i) Coordinate implementation of ISO standards and procedures within the division.
j) Coordinate’s integration of all legislation affecting the Company.
k) Manages all insurance policies of the Company and their execution.
l) Coordinate development of policies in line with the maritime sector, overseeing their implementation as per existing policies, legal and institutional frameworks at national and international platforms.
m) Overseas the provision of all legal services including litigation, conveyancing and contracts.
Operational Responsibilities / Tasks:
a) Secretary to the Board of Directors.
b) Attend Board meetings, take minutes of proceedings and direct the business affairs of the Company by disseminating the decisions of the Board of Directors to relevant Managers for implementation.
c) Provide advice on good ethics and corporate governance practices.
d) Advise the Managing Director and departmental heads on all legal matters affecting the Company.
e) Develop and implement strategies within the department for creating a high performing organizational culture based on transparency, integrity, accountability, performance measurement and results to ensure that activities are undertaken on sound management principles and practices.
f) Monitors, evaluates and reports on the budget expenditure of the Board and Legal Division.
g) Accounts for the budget expenditure of the Board and Legal Division.
h) Participate in the formulation and development of the Company’s Strategic Plan, plan and monitor set division targets and takes any necessary remedial actions.
i) Recommends for approval by the Board, the annual budgetary plan for the Department.
j) Monitor and evaluate departmental performance, including staff performance appraisal.
k) Demarcate works between actors; KSL, outsourced providers and clients. Job Dimensions:

The job solves strategic complex problems affecting the company and clients on legal matters associated with the shipbuilding industry.
Communication:
The job holder will need to understand the following information to discharge his/her mandate:
a) Detailed verbal instructions or requests to and from the MD, staff and stakeholders.
b) Written internal policy documents, procedures, laws, patents and regulations in the public sector/or the company.
c) In depth technical reports, proposals or project briefs affecting the legal services.
d) High level proposals on Government strategic direction on Legal services affecting the blue economy.
e) High level written proposals or presentations to the Board or stakeholders on the tactical /strategic areas in Legal Services.
f) Negotiations and communication with stakeholders on matters which will have a significant legal impact on the Company.
g) Company commercial contracts.
Decision Making/ Job Influence:
a) Makes strategic decisions that influence the company’s adherence to relevant laws and regulation and dispute resolution.
b) Makes operational decisions that direct day to day operations, scale and quality of services offered by the department of legal services.
c) Establishes and manages linkages, collaborations and interactions with various stakeholders.
Working Conditions:
Works predominantly in an office environment with regular court appearances and limited travels to client sites. Job Competencies (Knowledge, Experience and Attributes / Skills):
Academic Qualifications:
a) Master’s degree in Law from a recognized institution.
b) Bachelor’s degree in Law from a recognized institution combined with the required work experience may be accepted in lieu of the Master’s degree.
Professional Qualifications / Membership to professional bodies:
a) Advocate of the High Court of Kenya.
b) Member of Law Society of Kenya in good standing.
c) Certified Public Secretary (Kenya).
d) Member of the Institute of Certified Public Secretaries in good standing.
e) Undertaken a Strategic Leadership/Management course from a recognized institution.
Previous relevant work experience required:
Minimum of twelve (12) years relevant experience, five (5) of which should be at Management level.
