Job Description/Requirements

  1. Overall Profile:
    1.1. The candidate shall be competent on matters of corporate secretarial practice, governance, compliance, management and administration;
    1.2. The candidate shall be qualified and registered as a Certified Public Secretary (CPS) as per Section 20 of the Certified Public Secretaries Act, Cap 534 of the Laws of Kenya;
    1.3. The candidate shall have at least two to three years post-qualification experience as a CPS.
  2. Main deliverables:
    2.1. Own the process of incorporation of private companies with the Registrar of Companies;
    2.2. Ensure that the fiduciary duties of directors are adhered to as per the local laws, rules and regulations;
    2.3. Observe good governance in the discharge of his/her duties;
    2.4. Ensure that the directors have disclosed any interest that they may have in the company;
    2.5. Ensure that the directors exercise their duty with skill, care and diligence;
    2.6. Ensure compliance with legal provisions governing the organization’s operations and assist in corporate governance and reporting;
    2.7. Ensure proper governance in meetings;
    2.8. Attend meetings of directors and shareholders and recording the proceedings thereof through a proper maintenance of the Minutes Book;
    2.9. Make sure that all notices are given in accordance with the provisions of the law and the Memorandum and Articles of Association of the company;
    2.10. Act as custodian of statutory and other documents, share certificates and the company’s seal;
    2.11. Ensure that statutory returns are prepared, published and filed, as necessary;
    2.12. Own the process of the preparation of Board Papers (notice of meeting, agenda, minutes of previous meetings);
    2.13. Own the process of the filing of the annual return and financial statements / financial summary with the competent authorities;
    2.14. Maintain the statutory registers (register of directors, share register, interest register, register of beneficial owners);
    2.15. Ensure the renewal of any/all trade licenses
